The privatization of Brazilian Electric Sector (BES) changed completely its productive prerogative of investment, administration and coordination of the national electric system. This Work shows the changes that have been done in BES after the process of privatization referring the strategic reorientation of the regional electricity Company in the State of the Bahia (COELBA) in relation the governance structure of your electric maintenance. This way, the target of this works to get the mean motivations change and influences the new institutional environment. This work was based in transaction cost theory, supported by contribution of Williamson that in his last analysis served of paradigm that these to indicate the directions possible and grow limit of the company.
